Siemens Energy appears to be successful in taking over Siemens Gamesa

The majority of the owners of the shares that Siemens Energy did not own in Siemens Gamesa have accepted the German company's purchase offer. Therefore, it is now possible to forcibly redeem the remainder and delist the company from the stock exchange.

Since May, Siemens Energy has been mulling plans to acquire all of Siemens Gamesa, of which it already had a majority stake, and delist the wind turbine manufacturer from the Spanish stock exchange.

In November, Siemens Energy received permission to carry out the takeover offer. Specifically, the offer to shareholders was 18.05 euros (137.62 DKK) per share. 77.88 of the remaining shareholders have accepted this offer. This has resulted in Siemens Energy having an accepted bid for 174,686,626 shares, corresponding to 25.65 percent of the remaining shares. Siemens Energy will therefore pay approximately 3.15 billion euros (23.4 billion DKK) for the shares.

Together with the 67.07 percent it already owned, Siemens Energy's ownership of Siemens Gamesa now amounts to 92.72 percent. The target for Siemens Energy was to reach over 75 percent, which is the Spanish stock exchange's limit for being able to forcibly redeem the remaining shareholders' shares, which will make it possible for Siemens Energy to withdraw Siemens Gamesa from the Spanish stock exchange, which will probably happen next year.

With an acquisition and integration of Siemens Gamesa, Siemens Energy expects that savings can be achieved through synergies of 300 million euros (2.2 billion DKK) per year.
